These Terms of Service (“Terms”) apply to your use of our website (including any web pages under our control), our mobile or web-based software application (“the Sherpa app” or “app”), and all related services provided by MYY LLC (“Sherpa,” “we,” “us,” or “our”). By accessing or using our website, app, and services (collectively, the “Service”), you agree to be bound by these Terms and any additional terms referenced herein. If you do not agree to these Terms, please refrain from using the Service.
Important: If you access certain enhanced features—such as those involving advanced AI functionalities—you may be subject to additional terms. If your Institution (e.g., employer, healthcare provider) offers Sherpa to you, you will be required to agree to these Terms along with any terms set by your Institution.

1. Introduction and Scope of Services
Sherpa provides an app and related digital services aimed at helping individuals improve their personal and emotional well-being, productivity, and day-to-day life management. The Service primarily consists of:
An Artificial Intelligence (“AI”) driven digital coach that interacts with you via text or voice.
Evidence-based tools, exercises, and prompts that may help support general emotional resilience, behavioral wellness, and mental well-being.
Potential access to human support professionals (e.g., coaches, wellness assistants) depending on your plan or your Institution’s offerings.
If provided by your Institution, a “Digital Front Door” or “e-triage” service may guide you and eligible dependents to appropriate care or resources.
Certain premium or AI-enhanced features may be offered under separate terms.
Your Institution (if applicable) may offer these Services to you and require compliance with both these Terms and the Institution’s policies.
Not Medical or Clinical Advice:
 Sherpa’s AI coach, human coaches, or well-being professionals are not a substitute for professional medical or mental health care. If you experience an emergency—such as thoughts of self-harm, severe emotional distress, or any other medical crisis—immediately call your local emergency number or seek professional medical attention. Do not rely solely on the app in such situations.

2. Age and Eligibility Requirements
The Service is intended for individuals aged 13 and above, or as mandated by your Institution’s rules. If you are under the age of 18, you must review these Terms with your parent or legal guardian, and they must provide any necessary consent by contacting us at support@myybrands.com. You are responsible for complying with all applicable laws and regulations. MYY LLC is not responsible if any user misrepresents their age or eligibility. We reserve the right to suspend or terminate access to anyone who does not meet eligibility criteria or violates these Terms.

3. Use of the App and Services
AI Coach:
The AI coach is a computer program, not a human.
It is designed to help you with general well-being, providing supportive prompts, exercises, and coping strategies.
It does not provide medical diagnoses or clinical treatment plans and may encourage you to seek professional help if you mention severe symptoms.
Human Coaches or Assistants (If Offered):
Sherpa may allow text, audio, or video sessions with human well-being professionals, coaches, or assistants.
These professionals can support your well-being goals, offer motivational strategies, and help you navigate challenges.
They are not a replacement for licensed medical or mental health professionals, and they do not diagnose or treat medical conditions.
You may need to provide informed consent, emergency contact details, and comply with all session guidelines.
Digital Front Door / e-triage (If Offered):
If your Institution provides an e-triage tool, it will guide you through basic questions to determine which resources or care options are suitable for you.
The e-triage service is integrated with your Institution’s resources and follows their protocols.
Voice-Based Services (If Offered):
Voice-based functionalities are intended for general guidance and well-being support only.
Do not use voice-based features for emergencies or as a substitute for professional help.
Wysa+ or Similar Enhanced AI Services (If Introduced):
Should Sherpa introduce enhanced AI capabilities, separate terms may apply.
Such features would use generative AI and undergo safety and quality checks before being made available to users.

4. Privacy and Data Handling
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you agree to the terms outlined in our Privacy Policy. If you access additional AI-enhanced services, separate privacy policies or terms may apply.

5. Limitations of the Service
The Service is not a replacement for face-to-face therapy, professional medical treatment, or emergency intervention.
It cannot diagnose or treat any mental or physical health conditions.
It provides general well-being guidance and may suggest seeking professional help when appropriate.
If you have known health conditions or severe mental health issues, consult a licensed healthcare provider before using Sherpa.

6. Account Creation and Security
Some features may require you to create an account. If so:
Provide accurate and complete information.
Use strong, secure passwords, and enable two-factor authentication when available.
You are responsible for all activity under your account.
Notify us immediately at support@myybrands.com if you suspect unauthorized access or security breaches.
We reserve the right to suspend or terminate your account for violations of these Terms or suspicious activity.

7. User Conduct and Responsibilities
By using Sherpa, you agree to:
Use the Service in accordance with applicable laws and these Terms.
Not engage in harassment, hate speech, abuse, or misconduct.
Not share harmful, offensive, or illegal content.
Not impersonate others, misrepresent your identity, or engage in fraudulent activities.
Not attempt to bypass security measures, introduce viruses, or place undue burden on our infrastructure.
We may, at our discretion, remove or restrict content, and suspend or terminate accounts that violate these rules.

8. User Content
Certain areas of the Service may allow you to submit content (e.g., messages, notes, survey responses). By submitting content, you represent and warrant that you have the right to share it and grant MYY LLC a non-exclusive, worldwide, royalty-free license to use, modify, reproduce, and distribute this content for the purpose of providing and improving the Service, consistent with our Privacy Policy.
You retain ownership of your User Content. We do not claim ownership, but we may remove or refuse to display content that we believe violates these Terms or is otherwise objectionable.

9. Intellectual Property Rights
All intellectual property related to the Sherpa Service, including text, graphics, logos, software, and other content (collectively, “Sherpa Content”), is owned by MYY LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any Sherpa Content without our express written permission.

10. Third-Party Links and Services
The Service may contain links to third-party websites or resources. We do not control or endorse these third parties. Accessing third-party links is at your own risk, and you are responsible for reviewing their terms and privacy practices. MYY LLC is not liable for any damages or losses arising from your interactions with third-party services.

11. Disclaimers
No Medical Advice: The Service is not intended to provide medical diagnosis, treatment, or professional clinical advice. It is not a substitute for the judgment of licensed healthcare providers.
As-Is Basis: The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied. MYY LLC does not guarantee that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability
To the fullest extent permitted by law, MYY LLC, its affiliates, employees, or licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service. If any liability is found, our total cumulative liability shall not exceed the greater of USD 100 or the amount you paid us for the Service in the twelve (12) months preceding the applicable claim.
Some jurisdictions do not allow certain limitations of liability, so these limitations may not fully apply to you.

13. Indemnification
You agree to defend, indemnify, and hold harmless MYY LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, or expenses arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification or cessation of the Service.

15. Termination
We may suspend or terminate your access to the Service at any time for any reason, including if we believe you have violated these Terms. Upon termination, sections of these Terms that, by their nature, should survive termination will remain in effect (e.g., limitations of liability, indemnification).

16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

17. Force Majeure
We are not liable for delays or failures to perform resulting from causes beyond our reasonable control, including acts of God, war, terrorism, pandemics, labor disputes, or governmental actions.

18. Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

19. Notices
We may provide notices to you by email, in-app notifications, or through postings on our website or app. You are responsible for keeping your contact information up to date.

20. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

21. No Waiver
Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Entire Agreement
These Terms, along with any referenced policies (e.g., Privacy Policy), constitute the entire agreement between you and MYY LLC regarding your use of the Service, superseding any prior agreements.
